WELCOME TO CSIO. THESE TERMS AND CONDITIONS ("TERMS AND CONDITIONS”) DESCRIBE THE LEGAL AGREEMENT BETWEEN
YOU AND CENTRE FOR STUDY OF INSURANCE OPERATIONS (“CSIO”) CONCERNING YOUR ACCESS TO AND USE OF THE CSIO WEB
SITE AT THIS URL HTTP://WWW.CSIO.COM (THE “SITE”). THESE TERMS AND CONDITIONS GOVERN YOUR ACCESS TO AND USE
OF THE PRODUCTS AND SERVICES AVAILABLE ON THE SITE.
BY CHECKING THE BOX “I AGREE WITH TERMS AND CONDITIONS OF USE” YOU ARE DEEMED TO HAVE READ AND ACCEPTED THESE TERMS AND CONDITIONS
AND AGREE TO BE BOUND BY THEM AND BY ANY OPERATING RULES, POLICIES AND PROCEDURES THAT CSIO MAY POST FROM

The Site is made available by CSIO for the purpose of providing information about CSIO and CSIO products and services.

for convenience only concerning property and casualty insurance and standards for use in insurance data transmission

- Use of Site Content and CSIO Content
Any copies of file content made available by CSIO on the Site (CSIO File Content) and all other copyrighted and copyrightable
materials on the Site, including without limitation, the design, text, graphics, pictures and the selection and arrangement
("CSIO Materials") thereof are owned solely and exclusively by CSIO and/or its third party licensors. You are granted a limited,
personal, non-transferable and non-sub-licensable license to access the Site for the purpose of receiving CSIO Services.
The foregoing license grant does not include the right for you to:
- (a) publish, publicly perform or display, or communicate to the public or otherwise disclose or distribute to any third party any of the CSIO Materials or any CSIO Content;
- (b) systematically collect from the Site and use any data or content including the use of any data mining, robots, or similar data gathering and extraction methods;
- (c) make derivative uses of the Site or the CSIO Materials or CSIO Content;
- (d) reformat or reconfigure or otherwise reverse engineer any CSIO Content for use on any devices other than Devices;
- (e) or use, frame, or utilize framing techniques to enclose any portion of the Site.
Except for the limited license expressly granted to you, these Terms and Conditions do not grant you any other right or license,
whether express or implied, by estoppels, or otherwise in or under any patent, trademark, copyright, or other intellectual property
or proprietary right of CSIO or any third party.
- ACORD Content
Notice to Sublicensee – By downloading this file the Sublicensee is granted limited rights to use but not modify the ACORD Intellectual
Property, as contained within the CSIO Standard in this file, only for its own internal purposes and not for those of a third party for
so long as such use is necessary or desirable by such Sublicensee subject to ACORD’s copyright interests therein. All other rights to
and use of the ACORD copyrighted material included in such CSIO Standard, not otherwise granted to CSIO and its Sublicensees, are retained
absolutely by ACORD.
- Registration Data, Accounts and Passwords
In order to use the CSIO Services you must provide CSIO with certain current, complete, and accurate registration information,
including credit or payment related information that has been requested by CSIO during the Site registration process ("Registration Data").
You agree to maintain and update such Registration Data as necessary in order to keep such information current, complete, and accurate.
Registration Data will be used by CSIO solely in accordance with the terms of the CSIO Privacy Policy.
You agree to be responsible for: (a) maintaining the confidentiality of any passwords or other account identifiers which you choose
or that are assigned to you as a result of any registration with the CSIO Services, and (b) all activities that occur under such password
or account. Further, you agree to immediately notify CSIO of any unauthorized use of your password or account or in the event that the
confidentiality of your password is compromised. CSIO shall not be responsible or liable, directly or indirectly, in any way for any loss
or damage of any kind incurred as a result of, or in connection with, your failure to comply with this Section.
- CSIO Privacy Policy
For information on how personal information is collected, used and disclosed by CSIO, please consult our Privacy Policy.
- No License; Intellectual Property of CSIO and Others
Except as expressly provided, nothing herein or within any of the CSIO Services shall be construed as conferring any license under
any of CSIO's or any third party's intellectual property rights, whether by estoppels, implication, waiver, or otherwise. Without
limiting the generality of the foregoing, you acknowledge and agree that certain content available through and used to operate the
CSIO Services is protected by copyright, trade-mark, patent, or other intellectual property or proprietary rights of CSIO, its affiliates,
licensors, and/or service providers. You agree not to adapt, translate, modify, decompile, disassemble, or reverse engineer any software,
applications or programs used in connection with the CSIO Services nor use any of the forgoing for any purpose other than the purpose for
which such intellectual property is made available to users through the CSIO Services.
- Trade-marks
All product, brand and company names and logos and trade-marks displayed on the Site or used in connection with the CSIO Service are
the trade-marks of CSIO (or its suppliers or third party licensors). Any use of any of the marks appearing on the Site or in connection
with the CSIO Services without the express written consent of CSIO or the owner of the mark, as appropriate, is strictly prohibited.
- No Framing, etc.
Any copying, republication or redistribution of any part of the Site, including by caching, framing or similar means, is expressly
prohibited without the prior written consent of CSIO.
- Changes to Terms and Conditions
CSIO may revise the Terms and Conditions at any time by posting the amended Terms and Conditions on the Site and changing the effective date.
CSIO will notify you of the amended Terms and Conditions using the e-mail address that you provide to us and/or through a notice posted on
the Site using the notice procedure set forth in the Notice Section of these Terms and Conditions below. The amended Terms and Conditions
shall automatically become effective upon your receipt of a notice from CSIO indicating an amendment to the Terms and Conditions has been
made and any transaction occurring after such date shall be subject to the amended Terms and Conditions. Your continued use of the Site
after notice of the amended Terms and Conditions constitutes your affirmative agreement to abide and be bound by the Terms and Conditions, as amended.
- Applicable Laws
Access and use of this website are subject to all laws and regulations in your province or territory of residence. CSIO makes no representation
that materials in the site are appropriate or available for use outside Canada, or in other locations where access to or use of the site or any
part thereof is illegal or is prohibited.
- Termination
You acknowledge and agree that CSIO, in its sole and absolute discretion, may, without notice to you, suspend or terminate your account or
your use of, or access to, the Site and/or any of the CSIO Services, and remove and discard any information or content related to you
(and your use thereof), for any reason, including where CSIO believes that you have violated any of the Terms and Conditions. You further
agree that CSIO shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied
with the any of the CSIO Services or with any terms, conditions, rules, policies, guidelines, or practices of CSIO in operating the Site or
the CSIO Services, your sole and exclusive remedy is to discontinue using the Site and the CSIO Services. CSIO shall not be required to refund
to you any amounts prepaid for use of any CSIO Services if CSIO has terminated your account or your use of, or access to, the Site and/or any
of the CSIO Services for breach of the Terms and Conditions.
- Membership Provisions
You confirm that you are a member of CSIO or your applicable broker association. You further confirm your understanding that membership renewal
will be required and that current password access will expire automatically on March 31st annually. Your rights to access this Site and use
any CSIO materials or CSIO content will expire unless membership is renewed and current.
- Fair and Reasonable
The terms and conditions of these Terms and Conditions that limit liability reflect an informed voluntary allocation of risk. This allocation
represents a material part of these Terms and Conditions. Each party agrees that the limitations of liabilities set out in these Terms and
Conditions are fair and reasonable in the circumstances. Nothing in these Terms and Conditions will deprive you of the benefits of any applicable
consumer protection laws, except to the extent lawfully waived by the terms hereof.
